Overview

Welcome to ProGlow Labs. These Terms & Conditions ("Terms") are a legal agreement between you and Proglow Corporation, a Delaware corporation that operates the ProGlow Labs brand ("ProGlow Labs," "we," "us," or "our"). We operate this website and online store, including all related content, products, features, and services (collectively, the "Services").

These Terms govern your access to and use of the Services and outline your rights and responsibilities. By visiting, browsing, or purchasing from our site, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not access or use the Services.

1. Access & Accounts

You must be at least the age of majority in your jurisdiction to use our Services. By using the Services, you represent that you meet this requirement.

You agree to provide accurate, current, and complete information when creating an account or making a purchase. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Accounts may not be transferred, sold, or shared.

2. Products & Descriptions

We strive to display our products accurately. Colors and packaging may look slightly different depending on your screen settings, and packaging may change over time.

All product descriptions, pricing, and availability are subject to change without notice. We reserve the right to limit quantities or discontinue products at any time.

3. Product Use & Results

Our products are cosmetics. They are intended to improve the look of skin and hair. They are not intended to diagnose, treat, cure, or prevent any disease, and nothing on the Services, including our blog articles, is medical advice.

Our products are for external use only. Always read the label and follow the directions. Before first use, patch test on a small area of skin. Stop using the product and consult a doctor if you experience irritation, redness, or discomfort. If you are pregnant, nursing, being treated for a skin or scalp condition, or taking prescription medication, talk to your doctor before use.

Individual results vary. Any timelines or results described on the Services are typical experiences, not guarantees.

4. Orders

Placing an order constitutes an offer to purchase. ProGlow Labs reserves the right to accept or decline any order at our discretion. Any email we send after checkout confirms that we received your order; it does not mean your order has been accepted. Your order is accepted when it ships and we send you a shipping confirmation.

If you need to change or cancel an order, contact us as soon as possible. We'll do our best to update or cancel orders that haven't shipped, but we can't guarantee changes once processing has begun. See our Shipping Policy for details.

If we cancel all or part of an order, we will notify you using the contact information you provided and refund the full amount charged for the canceled items.

All purchases are subject to our Return & Refund Policy.

Products are sold for personal use only and may not be resold.

5. Pricing & Billing

Prices are shown in your local currency where available (for example, US dollars in the United States and Canadian dollars in Canada), based on your location or selected country. Prices may differ between regions. Your order is charged in the currency shown at checkout. If your payment method uses a different currency, your bank or card issuer may charge conversion or foreign transaction fees, which are your responsibility.

Prices, promotions, and discounts are subject to change without notice. Prices do not include applicable taxes, shipping, or (for international orders) customs duties, unless stated otherwise.

You agree to provide accurate billing and payment information and authorize us to charge your selected payment method for all purchases, including applicable fees and taxes. Payments are handled by our third-party payment processor, and we do not store your full card number.

6. Promotions & Discount Codes

Promotions and discount codes are subject to the terms stated in the offer. Unless an offer says otherwise, only one discount code may be used per order, codes cannot be combined with other offers, codes have no cash value, and codes cannot be applied to past orders. We may change or end any promotion at any time, and we may cancel orders that use codes obtained or used in violation of these Terms.

7. Shipping & Delivery

Processing times, shipping destinations, and how we handle damaged, lost, or stolen packages are covered in our Shipping Policy.

Delivery times are estimates only and are not guaranteed. We are not responsible for delays caused by carriers, customs, incorrect shipping information entered at checkout, or events outside our control.

Risk of loss and title pass to you once the order is transferred to the shipping carrier.

8. Intellectual Property

All content on the Services, including text, images, graphics, logos, product names, and design, is owned by ProGlow Labs or its licensors and is protected by intellectual property laws.

You may use the Services for personal, non-commercial purposes only. Unauthorized use, reproduction, or distribution is prohibited.

9. Third-Party Services & Links

We use third-party service providers, such as payment processors and shipping carriers, to operate the Services. All purchases are made directly with ProGlow Labs.

The Services may include links to third-party websites or access to third-party tools. We do not control or endorse third-party websites, tools, content, products, or services, and we are not responsible for them. Your use of them is at your own risk and may be subject to their own terms.

10. Privacy

Your use of the Services is subject to our Privacy Policy, which explains how we collect, use, and share your information.

11. User Content, Reviews & Social Media

"User Content" means any content you share with us or about our products, including product reviews, ratings, photos, videos, comments, and feedback, as well as social media posts that tag ProGlow Labs (such as @ProGlowLabs) or use our hashtags (such as #ProGlowSkin or #PROGLOW).

License to use your content. By submitting User Content to us, or by posting it publicly while tagging us or using our hashtags, you grant ProGlow Labs a non-exclusive, perpetual, irrevocable, royalty-free, worldwide, transferable, and sublicensable license to use, reproduce, edit (for example, cropping, resizing, or adding captions), publish, display, and distribute that content in any media. This includes our website, product pages, emails, social media accounts, and advertising. The license also covers your name, username, and likeness as they appear in the content. You keep ownership of your User Content, and we are not required to use it, credit you, or pay you for it.

Your responsibilities. By sharing User Content, you confirm that you own it or have permission to share it, that anyone shown in it has agreed to be included, and that it does not violate anyone's rights or any law. Do not include personal information such as addresses or phone numbers.

Honest reviews and disclosures. Reviews and posts must reflect your honest experience with our products. If you received a free product, discount, payment, or other incentive, you must clearly disclose it in your review or post (for example, #gifted or #ad).

Moderation. We may remove or decline to display User Content that is fake, abusive, off-topic, or that includes personal information or claims about treating medical conditions. We do not remove or hide reviews because they are negative.

Asking us to stop. We may ask for your permission before featuring your social media content. You can also ask us to stop using your User Content in new materials at any time by emailing support@proglowlabs.com, and we will make reasonable efforts to honor your request. We are not required to remove content from materials already published or printed.

Feedback. If you send us ideas or suggestions, we may use them for any purpose without any obligation to you.

12. Errors & Inaccuracies

We reserve the right to correct errors or inaccuracies in product information, pricing, or availability at any time, including after an order has been submitted, and to cancel affected orders. If we cancel an order you have paid for, we will refund you in full.

13. Prohibited Uses

You may not use the Services for unlawful, abusive, deceptive, or harmful purposes, including violating intellectual property rights, transmitting malware, or interfering with site security. Violations may result in termination of access.

14. Termination

We may suspend or terminate your access to the Services at any time without notice. Obligations incurred before termination, and Sections 3, 8, 11, and 15 through 21, survive termination.

15. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES AND ALL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT ANY PRODUCT WILL PRODUCE A PARTICULAR RESULT, OR THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

Some states do not allow the exclusion of implied warranties, so some of these exclusions may not apply to you. Nothing in this section limits your rights under our Return & Refund Policy.

16. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, PROGLOW LABS AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR ANY LOST PROFITS OR DATA, ARISING FROM YOUR USE OF THE SERVICES OR PRODUCTS. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS, THE SERVICES, OR ANY PRODUCT WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT THAT GAVE RISE TO THE CLAIM.

Some states do not allow these limitations, so they may not apply to you. Nothing in these Terms limits any liability that cannot be limited under applicable law.

17. Indemnification

You agree to indemnify and hold harmless ProGlow Labs and its affiliates, officers, employees, and agents from any claims, losses, and expenses (including reasonable attorneys' fees) arising out of your breach of these Terms or misuse of the Services.

18. Governing Law & Venue

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law rules. Any dispute that is not subject to arbitration under Section 19 will be heard only in the state or federal courts located in Delaware, and you consent to the jurisdiction of those courts. This section does not remove any protections you have under the mandatory consumer laws of the place where you live.

19. Dispute Resolution & Arbitration

Informal resolution first. Before starting any claim, you agree to email us at support@proglowlabs.com with a description of the issue and the outcome you are looking for. We will work with you in good faith to resolve it within 30 days.

Binding individual arbitration. If we cannot resolve the dispute informally, you and ProGlow Labs agree that any dispute arising from these Terms, the Services, or any product will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. Arbitration fees are allocated under those rules. The arbitration may be held by phone, by video, or in the county where you live. Judgment on the award may be entered in any court with jurisdiction.

Exceptions. Either party may bring an individual claim in small claims court if it qualifies. Either party may also ask a court for an injunction to stop the infringement or misuse of intellectual property.

Class action and jury trial waiver. YOU AND PROGLOW LABS AGREE THAT CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. YOU AND PROGLOW LABS WAIVE ANY RIGHT TO A JURY TRIAL.

Opting out. You may opt out of this arbitration agreement by emailing support@proglowlabs.com within 30 days of first accepting these Terms. Include your name, the email address used for your account or orders, and a clear statement that you are opting out of arbitration. Opting out does not affect any other part of these Terms.

Where arbitration is not allowed. If you live in a province, state, or country whose laws do not allow pre-dispute arbitration agreements or class action waivers in consumer contracts (for example, Ontario or Quebec), this Section 19 applies to you only to the extent those laws permit.

If the class action waiver is found unenforceable for any claim, that claim will be heard in court under Section 18 and not in arbitration.

20. Changes to Terms

We may update these Terms at any time by posting the updated version on this page and changing the "Last updated" date at the top. Changes apply to use of the Services and orders placed after they are posted. Continued use of the Services constitutes acceptance of the updated Terms.

21. General Terms

Severability. If any provision of these Terms is deemed unenforceable, the remaining provisions will remain in full force and effect.

No waiver. If we do not enforce any part of these Terms, that is not a waiver of our right to enforce it later.

Force majeure. We are not liable for any delay or failure to perform caused by events outside our reasonable control, including natural disasters, carrier or supply chain disruptions, labor disputes, government action, or internet or power outages.

Assignment. You may not assign these Terms without our consent. We may assign these Terms without notice.

Entire agreement. These Terms, together with our Privacy Policy, Shipping Policy, and Return & Refund Policy, constitute the entire agreement between you and ProGlow Labs regarding use of the Services.
